The seller makes generalized, not finite representations as to the product savings, life, suitability, or use applicability. All other goods sold are guaranteed to be free from defects in material and workmanship for a period of 60 days from shipment. Some products may include a longer warranty period; please refer to product packaging or specification sheets for more detailed information. Other than this warranty, seller makes no warranty of any kind, express or implied, including any warranty of merchantability, fitness for purpose or otherwise. The seller shall in no event be liable for any incidental, indirect, special or consequential damages or any kind, in contract, tort or otherwise. The seller’s liability and buyer’s exclusive remedy is limited to the replacement of non-conforming products or payment in an amount not to exceed the purchase price of the specific products for which damages are claimed at the option of the seller.
Jurisdiction and applicable law governed by and interpreted according to the internal laws of the State of South Carolina without regard to choice of law provisions. The parties consent to the jurisdiction of the State and Federal Courts of South Carolina and the effectiveness of Service of Process by Certified United States Mail.
Authorized Reseller Program and IMAP Policy
To qualify and remain an AMC Authorized Reseller, your business must adhere to this AMC Authorized Reseller Policy at all times.
1. Maintain Current Business Information & Disclose All Locations That Carry AMC Products
Reseller must maintain accurate and up-to-date company information and disclose all retail locations that carry AMC throughout the term of your reseller relationship with AMC. Qualifying retail locations can only be one of the following: your physical brick & mortar store(s), your commerce-enabled website(s), or temporary storefronts (events, tradeshows, pop up stores, etc.).
2. Report Sell-Thru for Physical Retail Location(s) and E-Commerce Sites
Reseller must provide sell-thru information by SKU and approved retail location upon request. AMC reserves the right to perform an audit of financial statements pertaining to AMC sales or the business operations (conduct) to ensure compliance with this policy.
3. AMC Minimum Advertised Price Policy
Reseller must understand their obligations under AMC's MAP Policy and abide by them. (attachment 1)
4. Sell to Retail Consumers Only
Reseller may not sell in bulk to B2B accounts, wholesalers, or freight forwarders/drop shippers for other retailers. Reseller may only sell to your end consumers.
5. Only Purchase AMC Products Directly From Assigned & Authorized Distributor
Reseller must not buy AMC products from other retailers, or from other sources not explicitly endorsed by AMC.
6. Only Sell AMC Products in Original Packaging
Reseller may not alter original AMC packaging in any way prior to reselling AMC products. Removing AMC products from packaging and reselling AMC products in a different packaging or under a different name is strictly prohibited.
7. No Bundling AMC Products without Obtaining Permission
Reseller must not re-SKU or bundle AMC products in your online assortments & data feeds without receiving prior written permission from AMC.
8. Bulk Sales
Reseller agrees to reasonably cooperate with AMC in preventing unauthorized exportation of AMC products. Reseller shall endeavor to request the following information: customer name, customer address, customer phone and dates of transaction. The customer information is not required to be transferred to AMC, however it should be used to identify suspicious purchase patterns. In the event the customer refuses to provide such information, Reseller should reduce the transaction quantity to below the applicable Bulk Products threshold.
9. Customer Confusion
Reseller will not advertise, market, display, or demonstrate non-AMCG products together with AMC products in a manner that would create the impression that the non-AMC products are made by, endorsed by, or associated with AMC.
10. Sell on Approved Retail Website(s) Only
Reseller must only take orders via publicly accessible ecommerce enabled web pages hosted on approved websites owned and operated by your company. Selling on 3rd party sites (eBay, Amazon, Alibaba, etc.), drop-ship accounts (Buy.com, Newegg.com, Overstock.com, etc.) is not permissible without prior authorization by AMC. Selling on classified sites (Craigslist.com, Facebook Marketplace, etc.) or direct messages on forums is strictly prohibited.
12. Additional Reseller Obligations for AMC Dealer Locator
Reseller’s store locations may be listed in the AMC dealer locator at AMC's sole discretion. If a Reseller markets non-AMC products intended to be marked as compatible products to AMC Products, they forfeit the opportunity for their brand to be listed on the AMC dealer locator.
13. Obey the Law, Abide by Policy Rules & Serve Customer Needs
Reseller must comply with all applicable laws, rules, regulations & policies related to advertising, sale, & marketing of AMC products. Must provide a level of sales support & customer support for our customers that, at a minimum, demonstrate industry best practices.
Failure to comply with all of the terms in AMC’s Authorized Reseller Policy may result in suspension or termination of your account.
AM Conservation - Niagara Conservation Minimum Advertised Price Policy
We recognize our success is tied to the success of our network of select distributors and dealers. We also realize that many of our partners invest significant time and resources to provide an extraordinary customer experience. We want to protect our partner’s ability to continue do so, while at the same time discourage “Price-based” advertising that could harm our partner’s service and support efforts as well as our brand. As a result, AM Conservation (AMC) has a MAP (Minimum Advertised Price) Policy in place to protect our partners and dealers. The MAP policy will apply to all U.S. and Canadian dealers, distributors and any and all DBA organizations.
The MAP policy guidelines include:
A) MAP is unilaterally established by AMC for the products listed in section (I) and may be adjusted or added to by AMC in its sole discretion at any time.
B) The MAP policy applies to all advertisements of AMC and Niagara Conservation products on the Internet.
C) MAP applies only to advertised prices and does not apply to the price at which the products are actually sold or offered for sale to an individual consumer within the dealer’s location, over the telephone or through a “bid” process. Dealers and distributors of AMC remain free to sell these products at any prices they elect.
D) MAP does not establish maximum advertised prices. All dealers and distributors may offer AMC products at any price in excess of the MAP established for such product.
E) AMC’s MAP policy does not in any way limit the ability of any dealer and/or distributor to advertise that “they have the lowest prices” or, they “will meet or beat any competitors price”, that users of the product should “call for a price” or phrases of similar import as long as the price advertised or listed for the products is not less than MAP.
F) From time to time, AMC may discontinue models or engage in promotions with respect to certain products or engage in the sale of “close out” products and/or “Old stock” inventory. In such events, AMC reserves the right to modify or suspend the MAP with respect to the affected products by notifying all dealers and distributors of such change. AMC further reserves the right to unilaterally adjust the MAP with respect to all or certain products at its sole discretion upon seven (7) days advance written notice to the dealers and distributors, provided that such changes shall apply equally to all dealers and distributors of AMC/Niagara Conservation.
G) In the event a dealer or distributor chooses not to follow the MAP policy, sanctions will be unilaterally imposed by AMC. Intentional and/or repeated failure to abide by this policy will result in termination of dealership or distributorship approval to sell our products.
G1) AMC does not intend to do business with dealers and/or distributors who compromise the perceived value of AMC/Niagara Conservation and its products.
G2) AMC will monitor the advertised price of dealers or distributors, either directly or via the use of third-party agencies. Third party agencies retained by AMC may engage in monitoring of any advertisements. AMC’s policy administrator shall be solely responsible for determining whether a violation of the policy has occurred, communicating decisions to dealers or distributors regarding the policy and receiving any communication regarding sanctions imposed under this policy.
G3) AMC’s SALES PERSONNEL OR OTHER EMPLOYEES HAVE NO AUTHORITY TO MODIFY OR GRANT EXCEPTIONS TO THIS POLICY.
